These Terms of Service (“Terms”) govern your access to and use of our Site and, where applicable, your purchase or use of NYFB products and services.
If you purchase a membership, class pack, personal training, event ticket, merchandise, or other services, your purchase and participation may also be governed by additional terms (for example: a membership agreement, class booking rules, a waiver/release of liability, and/or a refund/cancellation policy). If there is a conflict, those additional terms will control for that specific product/service.

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1) Definitions

• “You/Your” means any person who accesses or uses the Site, whether or not you create an account.

• “Content” means the audio/visual information, text, graphics, forms, documents, images, data, and materials made available through the Site.

• “Submitted Materials” means information, ideas, suggestions, messages, reviews, comments, photos/videos, or other material you submit to us (including via social media).

• “Applicable Laws” means all laws, rules, regulations, and court orders that apply to you, to us, or to the Site.

2) Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date above will change when we do. By continuing to use the Site after changes are posted, you agree to the updated Terms.

3) Rights and Conditions of Use

You may view and use the Content on your computer, mobile device, or other internet-compatible device only for your personal, non-commercial use. You may print or make a single copy of Content for that same permitted use.

You may not use the Site or Content for any commercial purpose without our prior written consent. Any use not expressly permitted by these Terms is a breach and may violate Applicable Laws. We are not responsible for any loss or damage arising from your failure to comply with these Terms.

4) Site Content; No Reliance

Content may come from NYFB or third parties. We do not guarantee that Content is:

• accurate, complete, or current,

• error-free (technical or typographical),

• uninterrupted, or

• free of viruses or other harmful components.

You use Content at your own risk, and you are responsible for evaluating its accuracy and usefulness.

5) Accounts, Bookings, and Purchases

Some Site features may require you to create an account or provide payment information (for example: buying a membership, booking a class, purchasing merchandise, or reserving an event).

You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Additional terms may apply to purchases (including, without limitation, pricing, taxes, auto-renewal if offered, cancellation rules, late/no-show rules, and refund eligibility), and may be presented at checkout, in a separate policy, or in a membership agreement.

6) Health & Fitness Disclaimer (Important)

NYFB provides fitness instruction and related services, which may involve strenuous physical activity.

By participating in any NYFB activity (whether booked through the Site or in-person), you understand and agree that:

• Physical activity carries inherent risks (including serious injury or death).

• You are responsible for consulting a physician before beginning any fitness program.

• You will stop participating and seek help if you feel pain, dizziness, faintness, or discomfort.

• Results vary and are not guaranteed.

Waiver/Release: You may be required to sign a separate waiver and release of liability as a condition of participation.

7) Minors

The Site is intended for users 18 years of age and older unless otherwise stated. Minors may only participate in NYFB programs if a parent/legal guardian completes required paperwork and agrees to applicable terms, policies, and waivers.

8) Social Media

These Terms apply to interactions with our social media presence, whether through:

• Internal Social Media Features (such as blog comments or embedded features on the Site), or

• External Social Media Presence (Facebook, Instagram, YouTube, TikTok, X/Twitter, LinkedIn, etc.).

Social media is public. You should have no expectation of privacy when posting on third-party platforms, and those platforms’ terms and privacy policies apply.

User comments are their own and do not reflect NYFB’s views. Offensive content may appear and may remain until removed through platform processes. If you see inappropriate activity:

• On external platforms: report it to the platform.

• On internal Site features: contact us using the information above.

9) Trademarks and Intellectual Property

NYFB’s logos, names, and marks (the “Trademarks”) are owned by NYFB or licensors. Nothing on the Site grants you a license to use any Trademark without written permission.

As between you and NYFB, NYFB owns all rights, title, and interest in the Site and Content, including copyrights, trademarks, trade dress, and other intellectual property rights.

If you believe content on the Site infringes your intellectual property rights, contact us with details so we can review and take appropriate action.

10) Submitted Materials; User-Generated Content

If you submit Submitted Materials, you represent and warrant that:

• you own or have the necessary rights to submit them, and

• they comply with Applicable Laws and do not infringe others’ rights.

You grant NYFB a royalty-free, worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable license to use, reproduce, modify, publish, translate, create derivative works from, distribute, display, and otherwise use the Submitted Materials (in whole or in part) in any media now known or later developed.

We are not responsible for maintaining Submitted Materials, so you should keep copies for your records.

11) Privacy

Our collection and use of personal information is governed by our Privacy Policy:

That policy is incorporated into these Terms by reference.

12) Prohibited Conduct

You agree not to, and not to assist others to:

• disrupt, damage, or interfere with the Site or Content;

• probe, scan, test, or attempt to bypass Site security;

• scrape, harvest, spider, or use automated means to access the Site or accounts without permission;

• impersonate others or misrepresent affiliations;

• upload or transmit illegal, fraudulent, defamatory, harassing, abusive, obscene, or infringing content;

• violate privacy rights or Applicable Laws;

• introduce malware, viruses, or harmful code; or

• send spam or route unsolicited messages through the Site.

13) Third-Party Websites and Links

The Site may contain links to third-party websites or display third-party content (“Links”). Links are provided for convenience only. NYFB does not control third-party sites and is not responsible for their content, availability, products, or privacy practices.

Once you click a third-party Link, you are subject to that third party’s terms and policies.

14) Disclaimers; Limitation of Liability; Indemnification

DISCLAIMER: THE SITE, CONTENT, AND ANY INFORMATION, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYFB AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT.

INDEMNIFICATION: You agree to defend, indemnify, and hold harmless NYFB from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your Submitted Materials, or your violation of these Terms or Applicable Laws.

15) Termination

These Terms remain in effect while you use the Site. We may suspend or terminate access to the Site (or parts of it), including your account, at any time, for any reason, without notice, to the extent permitted by law.

16) Governing Law; Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to the Site or these Terms will be brought in the state or federal courts located in New York, and you consent to personal jurisdiction and venue in those courts.

17) Miscellaneous

• These Terms and the Privacy Policy are the entire agreement about Site use, except for additional terms that apply to specific purchases/services.

• If any provision is found unenforceable, the remainder remains in effect.

• Failure to enforce a provision is not a waiver.

• Any claim must be filed within one (1) year of when it arose, unless Applicable Law requires a longer period.

• Sections intended to survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
